Terms of Service

1. Who you are contracting with

These terms are an agreement between you and ScoutTide ("ScoutTide", "we", "us"). You can reach us at support@scouttide.com or through the contact form.

If you accept these terms for an organisation, you confirm that you may bind it, and "you" means that organisation. ScoutTide is a business tool, offered to businesses and professionals. If you nonetheless use it as a consumer, the rights consumer law gives you and that cannot be excluded are not affected by anything below.

Payment is handled by Paddle.com Market Ltd and its affiliates as our merchant of record. When you subscribe, your contract for the payment itself is with Paddle, which collects the price, applies the correct tax and issues the invoice. Your contract for the use of the software is with us, on these terms.

2. The service

ScoutTide collects publicly published procurement notices, contract awards and public posts from official procurement sources around the world (the Sources page in the application lists each one and its health) and from feeds you configure, and helps you triage, claim, discuss and respond to them. It is a research and workflow tool. It does not submit bids for you and does not send anything on your behalf. Notices come from third-party publishers: we do not control them and do not guarantee that any source is complete, accurate or available.

We keep developing the service. We may change or remove features, and we will not remove a core feature of a paid plan during a period you have already paid for without telling you in advance.

3. Accounts and organisations

You need an account. You may create one with an identity provider or with an email address and password. Every account belongs to exactly one organisation: either your own (the Individual plan) or one you were invited to (Team). You are responsible for the accuracy of the address you register, for keeping your credentials secure, and for what happens under your account. Tell us at once if you think an account has been misused.

Organisation managers can invite people, change roles and deactivate accounts within their own organisation. They cannot see or affect any other organisation's data. The organisation is responsible for the people it lets in.

4. Plans, trial and billing

Both plans start with a 14-day free trial that needs no payment details. After the trial, continued use of the paid features needs a subscription, billed monthly or annually in advance through Paddle, our merchant of record. Prices are shown on the pricing page and at checkout. Paddle calculates any tax that applies at checkout. A subscription renews automatically at the end of each period until it is cancelled. Plan limits (seats, product scan rules and document storage) are shown on the pricing page and in the application.

We may change prices for future periods. We will tell the organisation's managers by email at least 30 days before a new price applies to them, and they can cancel before it does. Organisations we have given complimentary access keep it until we give at least 30 days' notice that it will end.

5. Cancellation and refunds

Managers can cancel at any time from Organisation → Billing. The plan then runs to the end of the period already paid for, does not renew, and nothing further is charged.

You can ask for a full refund within 14 days of any payment (the first payment and every renewal), no questions asked: email support@scouttide.com with your account email and the receipt or order number, or use the Request refund link in Paddle's receipt email. Paddle processes the refund as merchant of record. After 14 days a payment is not refundable, except where the law requires it or for a billing mistake, which we always fix. The refund policy gives the details and is part of these terms.

6. Acceptable use

  • Do not use the service to break the law or the terms of any source it reads. In particular, do not use it to scrape sites that forbid it.
  • Do not upload content you have no right to share, malware, or anything unlawful.
  • Do not attempt to reach another organisation's data, to probe or disrupt the service, or to circumvent plan limits or authentication.
  • Do not resell the service or make it available to people outside your organisation, except as the plan allows.

We may suspend an account or organisation that breaches this section, or whose use puts the service or other customers at risk. Where we do, we will say why and, unless the risk is urgent, give you the chance to fix it first.

7. Your data

Documents you upload, notes you write, drafts you keep and the rest of what your organisation puts into ScoutTide ("your data") remain yours. You grant us only the permission needed to host, display and process your data to provide and secure the service. We do not sell it and we do not train any model of our own on it.

Where we process personal data on your behalf, the Data Processing Addendum applies and forms part of these terms; our current sub-processors are listed on the sub-processors page. How we handle personal data for our own purposes is described in the privacy policy.

8. AI features and their output

Several features use a language model: matching tenders and posts to your products, translation, building your profile from your website, turning your products into searches, expanding your keywords into other languages, and reading a tender's documents. Each is labelled where it appears, and how we use AI lists them. Model output can be wrong or incomplete, and a relevant tender can be scored low. You are responsible for reading and checking anything before you send it or rely on it. Tender data itself is never generated; it comes from the official source.

9. Availability and support

We use commercially reasonable efforts to keep the service available and to fix faults, but we do not offer a service level agreement or guarantee uninterrupted availability. Maintenance, and the sources themselves changing or failing, can interrupt it; the Sources page shows the health of each source so you can see what is stale rather than guessing. Support is by email and the contact form.

Apart from what these terms expressly promise, the service is provided "as is" and "as available", without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement, and without any guarantee of uninterrupted or error-free operation. This does not limit any warranty or right that the law does not allow to be excluded.

10. Ending the agreement, and your data afterwards

You can stop using the service at any time: a manager can cancel the subscription, any user can delete their own account from Account settings, and a manager can delete the organisation. We may end the agreement for a paid plan at the end of a billing period with 30 days' notice, or at once if you materially breach these terms and do not fix the breach within 14 days of our notice.

  • When a trial or subscription ends without a new plan, nothing is deleted straight away. Your data stays readable and exportable; only the metered AI features and adding seats, products and documents pause. An organisation whose plan has ended and where nobody has signed in for 30 days is deleted after a further 180 days: its deletion is then scheduled and carried out 14 days later, and any manager who signs in during those 14 days can stop it. A sign-in or a new plan at any point before that starts the count again. A suspended organisation is treated the same way.
  • When a manager deletes the organisation, it is held for 14 days, during which a manager can restore it, and is then deleted permanently. When the only member of an Individual organisation deletes their account, the organisation is deleted the same way, 14 days later.
  • Export: during those windows the organisation's lists can be exported (Excel, CSV or PDF) and its documents downloaded, and every user can download their own data from Account settings.
  • Deleted data leaves our backups within 30 days, as they rotate (the privacy policy gives each backup's window). Invoices and payment records are kept by Paddle as tax law requires.

11. Liability

Nothing in these terms limits or excludes liability for intent or gross negligence, for death or personal injury, for fraud, under mandatory product liability law, or any other liability that cannot lawfully be limited or excluded.

Subject to that: neither party is liable for indirect or consequential loss, or for lost profits, revenue, contracts or bids, whether or not foreseeable; and each party's total liability arising out of or in connection with these terms in any twelve-month period is limited to the fees you paid for the service in the 12 months before the event giving rise to the claim. We are not liable for decisions taken on the basis of information from public sources or AI output that you did not check, or for missed deadlines where the source published a wrong or late date.

12. Indemnity

You will defend us against third-party claims arising from your data or from your use of the service in breach of section 6, and pay the amounts finally awarded or agreed in settlement. We will defend you against third-party claims that the ScoutTide software itself, used as these terms allow, infringes their intellectual property rights, and pay the amounts finally awarded or agreed in settlement; this does not cover your data, source content, or combinations with things we did not provide. The party seeking the defence must tell the other promptly, let it control the defence and settlement, and cooperate reasonably.

13. Changes to these terms

We may change these terms. We will post the new version here and email the managers of every organisation at least 30 days before a material change takes effect. If you do not agree, you can cancel before the change applies to you; continuing to use the service after that date means you accept it. Changes required by law, or needed urgently to address security or misuse, may take effect sooner.

14. Governing law and courts

These terms are governed by applicable law. The mandatory consumer protections of the country where you live are unaffected.

If any part of these terms is found invalid, the rest stays in force. Not enforcing a right is not a waiver of it. These terms, the refund policy and the data processing addendum are the whole agreement about the service.
